Referral Arrangement Disclosure

Wealthsimple is required to disclose to you the following information about a referral arrangement that affects you:

1. Parties to the Referral Arrangement

• Referring Party: The individual whose referral link you clicked (your "Referrer") is an existing Wealthsimple client. Your Referrer is not acting on behalf of Wealthsimple.

• Receiving Party: Wealthsimple Investments Inc., a registered investment dealer in each province and territory of Canada and a member of the Canadian Investment Regulatory Organization, and Wealthsimple Payments Inc. (together, "Wealthsimple", "we" or "us").

2. Nature of the Referral Arrangement

Wealthsimple has entered into a referral arrangement with your Referrer under which the Referrer may refer individuals to Wealthsimple to open an account and access Wealthsimple's products and services. All activity requiring registration resulting from this referral arrangement will be provided by Wealthsimple.

3. Referral Fees

In connection with this referral arrangement, Wealthsimple will pay and your Referrer will receive a referral reward (in Canadian dollars) subject to you opening a qualifying Wealthsimple account and meeting the applicable conditions set out in our Referral Bonus Promotion terms.

If your Referrer participates in Wealthsimple's Super Referrer Program, they will receive an additional $50 CAD on top of the standard referral reward described in those terms, subject to the same qualifying conditions.

These referral fees are paid by Wealthsimple and do not result in any additional cost to you as a Wealthsimple client.

4. Potential Conflict of Interest

You should be aware that the referral fees described above may create a conflict of interest. Specifically, your Referrer has a financial incentive to refer individuals to Wealthsimple regardless of whether Wealthsimple's products and services are the most appropriate for a particular person's needs.

Wealthsimple addresses this conflict by disclosing this arrangement to you in writing prior to account opening, and ensuring that Wealthsimple's know-your-client, suitability (if applicable), and best interest obligations apply fully to you regardless of how you were introduced to us. This disclosure also assumes your Referrer is not a registered securities professional and is not providing you with investment advice. If you believe your Referrer is doing so, you should verify their registration status before relying on any recommendation or investment advice.

You are under no obligation to open an account or obtain any products or services from Wealthsimple as a result of this referral, and you are free to seek similar services from other providers.

By proceeding to open an account with Wealthsimple through this referral, you acknowledge that you have read and understood this Referral Arrangement Disclosure prior to opening an account with Wealthsimple.
